Terms and Conditions for the QubMenu PARTNER Model
This document sets out the terms applicable to participation in the QubMenu PARTNER model, operated by QubHQ, under which certain locations receive free access to the QubMenu Full Digital plan in exchange for using the digital menu as advertising inventory within the QubAds system.
By joining, using, or continuing to use the PARTNER model, the Beneficiary confirms that it has read, understood, and accepted these Terms and Conditions, as well as the general QubMenu Terms and Conditions and the QubAds policies, all of which apply cumulatively.
1. Full Digital plan use and dependency on the PARTNER model
1.1. Access to the QubMenu Full Digital plan is granted exclusively within the QubMenu PARTNER model and does not constitute an independent or unconditional right. The free of charge nature of the Full Digital plan is directly linked to maintaining PARTNER status for the relevant location.
1.2. If the PARTNER model is suspended, terminated, or withdrawn for any reason, QubHQ reserves the right, at its sole discretion, to deactivate the digital menu, suspend or close the workspace associated with the location, or request migration to a paid commercial plan under the commercial terms valid at that time. The Beneficiary acknowledges that the use of the Full Digital plan outside the PARTNER model is not guaranteed.
1.3. All workspaces, digital menus, configurations, and the related technical infrastructure are created and operated within the QubHQ platform and remain the exclusive property of QubHQ. The Beneficiary acquires no ownership rights over them.
1.4. Upon termination of participation in the PARTNER model, QubHQ may restrict or remove access to the workspace, without any obligation to preserve historical data, except where retention is required by applicable law.
2. Advertising revenues and their variable nature
2.1. Participation in the PARTNER model involves using the digital menu as an advertising display within the QubAds system. Any amounts shown in the dashboard as advertising revenues are variable, performance based, and are not guaranteed income.
2.2. The Beneficiary expressly accepts that displayed amounts may fluctuate daily and monthly and may be influenced by factors such as the number of ad impressions, user interactions (including clicks, opens, and navigation), session duration, traffic volume, advertiser demand, seasonality, and the location’s relative performance compared to other partners within the same territory.
2.3. QubHQ does not guarantee any minimum revenue, any minimum traffic volume, or the achievement of any financial gain as a result of participation in the PARTNER model.
3. Algorithmic control and volatility of attributed value
3.1. The Beneficiary acknowledges and accepts that all mechanisms for calculating impressions, engagement, budget distribution, and the determination of allocated amounts are governed by internal algorithms established by QubHQ.
3.2. QubHQ has the right to adjust, interpret, and modify, unilaterally, the calculation rules and the value attributed to an impression or interaction, based on its own assessment of market conditions, advertising demand, and platform performance. Accordingly, the monetary value associated with an ad impression or user interaction is not fixed and may vary over time.
3.3. The Beneficiary understands that such volatility is an essential characteristic of the PARTNER model and accepts the related risks.
4. Revenue sharing with affiliates and intermediaries
4.1. Where the Beneficiary was onboarded through an affiliate, distributor, reseller, or other intermediary, the Beneficiary accepts that a portion of advertising revenues may be allocated to that intermediary.
4.2. The Beneficiary acknowledges that the exact level of commissions, percentages, or revenue split formulas between QubHQ and intermediaries may not be disclosed. Participation in the PARTNER model implies acceptance of this mechanism, without the right to request details or to challenge the revenue distribution on this basis.
5. Use of earned amounts: invoicing or conversion to Reward budget
5.1. After reaching a minimum threshold of 10 EUR in advertising revenues displayed in the platform, the Beneficiary may decide how to use those amounts.
5.2. Option 1, payment request. The Beneficiary may issue an invoice to QubHQ between the 1st and the 5th day of each calendar month, for the full amount or a portion of the amount displayed in the dashboard, and may submit the payment request through the platform, in accordance with the applicable policies.
5.3. Option 2, internal transfer to Reward budget. At any time, and without reaching any minimum threshold, the Beneficiary may transfer all or part of its advertising revenues into a Reward type budget within the QubAds platform. This budget may be used in a workspace chosen by the Beneficiary, provided that the workspace belongs to the same account. This option enables reinvestment into advertising campaigns without requesting a cash payment.

6. No right to guaranteed earnings
6.1. Participation in the QubMenu PARTNER model does not create an employment relationship, a partnership, an agency relationship, or a joint venture between the Parties. Advertising revenues do not constitute a salary, a guaranteed commission, or a certain payment obligation.
6.2. Any amounts displayed in the platform are informational until they are confirmed, invoiced, and paid in accordance with the applicable rules.
7. Modification or termination of the PARTNER model
7.1. QubHQ reserves the right to modify, suspend, or terminate the QubMenu PARTNER model and to update this document at any time.
7.2. Changes become applicable as of the publication date. Continued use of the platform after that date constitutes acceptance of the updated conditions.
8. Governing law and jurisdiction
8.1. These Terms and Conditions are governed by the laws of Romania.
8.2. Any dispute shall be resolved by the competent courts at the registered seat of QubHQ, unless the Parties agree otherwise.

1. Introduction
Welcome to QUBMENU, a service operated by S.C. QUBHQ S.R.L. ("Company," "we," "us," or "our"), a company registered in Romania with registered office at Luis Pasteur 28, Oradea, Bihor County, Romania, and VAT number RO47754744. The Company owns and manages https://qubmenu.com ("the Site"), a platform offering digital menu and digital invitation services under a Software-as-a-Service (SaaS) model.
These Terms and Conditions constitute a legally binding agreement between you ("user," "you," or "your") and the Company. By using our services, you agree to be bound by these Terms. If you do not agree, you must immediately stop using the services.
2. Description of Services
QUBMENU provides access to two types of workspaces:
Digital Menus for restaurants, cafes, and hospitality venues.
Digital Invitations for events such as weddings, conferences, or private gatherings.
Upon registration, users must choose the type of workspace. A demo environment is available by default for evaluation purposes, offering limited functionality without requiring payment.
To unlock full functionality, such as publishing a public menu or invitation via a link, accessing advanced features, and managing more than one item, you must activate a paid license. Licenses are available on a monthly or yearly basis, as specified on our pricing page at https://qubmenu.com/pricing.
3. Acceptance of Terms
By accessing or using our services in any manner—including but not limited to browsing the Site, creating an account, uploading content, or purchasing a subscription—you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and our Privacy Policy.
4. Eligibility
You may only use the services if:
You are at least 18 years old;
You have the legal capacity to enter into a binding agreement;
You are not prohibited from using the services under applicable law.
You must not allow any unauthorized person to access your account.
5. Account Registration and Security
To use most features of the platform, you must create an account. When registering:
You must provide accurate, current, and complete information;
You must keep your login credentials confidential;
You are responsible for all activities that occur under your account;
You must notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or delete accounts with false or misleading information.
6. Subscription Plans and Billing
Our pricing and subscription terms are publicly available at https://qubmenu.com/pricing. By subscribing, you:
Agree to pay the applicable fees and VAT;
Authorize us to charge your preferred payment method on a recurring basis;
Are responsible for maintaining updated billing information;
Understand that all purchases are final and non-refundable;
May cancel your subscription from your account dashboard at any time. The cancellation becomes effective at the end of the current billing cycle.
7. Free Trial
We offer a free trial period of up to 1000 days with limited features. The free trial is designed to allow new users to evaluate the platform before making a purchase. We reserve the right to change the duration or terms of the free trial at our discretion.
8. Availability, Maintenance, and Downtime
While we strive to provide uninterrupted service, we:
Do not guarantee 100% uptime;
May perform routine or emergency maintenance;
Are not liable for service interruptions of up to 48 hours, especially when caused by third-party providers such as Google Cloud, Cloudflare, or other dependencies.
9. License and Intellectual Property
All content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, and software, is the property of QUBHQ S.R.L. or its licensors. We grant you a limited, non-transferable, non-exclusive, revocable license to use the services strictly for internal business purposes.
You must not:
Copy, reproduce, distribute, or exploit any content without our written permission;
Modify, reverse engineer, or disassemble any part of the platform;
Use any content for commercial resale, sublicensing, or redistribution.
10. User-Generated Content and Uploaded Media
You may contribute content to the platform, including but not limited to text, media, product descriptions, and metadata ("User Content"). By doing so, you:
Grant us a worldwide, irrevocable, royalty-free, perpetual license to use, modify, reproduce, and publish such content;
Acknowledge that this includes content uploaded by you or by anyone you shared an upload link with (e.g., for uploading images or files);
Represent that you own or have the legal rights to all submitted content;
Agree that your content will not contain anything defamatory, obscene, illegal, or infringing on third-party rights.
We reserve the right (but are not obligated) to monitor, edit, or remove content at our discretion.
11. Nutritional Calculator Disclaimer
Our platform includes an automated nutritional calculator. The calculator estimates nutritional values based on standardized databases and input data (e.g., weights, ingredients). We:
Do not guarantee the accuracy or completeness of the data provided;
Are not liable for any legal or health issues arising from incorrect values;
Recommend using the calculator as a reference only, not a certified medical or dietary tool.
12. Translation and AI Disclaimer
Certain features use AI to provide automated translations. By using them, you acknowledge:
Translations are generated algorithmically and may contain errors or inappropriate language;
We disclaim liability for any offensive or inaccurate translations;
You remain responsible for final review and approval before publishing any translated content.
13. Privacy and Data Protection
Your data is collected, stored, and processed in accordance with the EU General Data Protection Regulation (GDPR) and Romania’s Law no. 190/2018. See our full Privacy Policy at https://qubmenu.com/privacy. Our data centers are located in Romania, Belgium, and Germany.
By using our platform, you consent to:
Data transfer outside your country (where applicable);
Collection of analytics and usage metrics to improve service functionality.
14. Prohibited Conduct
You may not use our services to:
Engage in fraudulent, illegal, or deceptive practices;
Upload malware or engage in cyberattacks;
Harass, threaten, or defame any person or entity;
Circumvent access controls or security measures;
Extract, scrape, or repurpose platform data without written authorization;
Upload offensive or unauthorized commercial content.
Violations may lead to immediate termination, legal action, and reporting to authorities.
15. Limitation of Liability
To the fullest extent permitted by law, we are not liable for:
Loss of data, profits, or business;
Service interruptions;
Unauthorized access or third-party interference;
Platform malfunctions due to external service providers.
Our maximum liability is limited to the amount paid by you to us in the three months preceding the claim.
16. Indemnification
You agree to indemnify and hold harmless S.C. QUBHQ S.R.L., its directors, affiliates, and employees from any claims or liabilities resulting from:
Your violation of these Terms;
Your uploaded content;
Your misuse of the services;
Your infringement of third-party rights.
17. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of laws rules. You agree to submit to the non-exclusive jurisdiction of the courts in Bihor County, Romania.
If you are a consumer based in the EU, you may also bring claims in your country of residence.
18. Dispute Resolution
We aim to resolve disputes amicably. If a dispute arises, please contact us first at legal@qubmenu.com. You may also use the European Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr
19. Amendments
We may revise these Terms at any time. Material changes will be notified via email or the platform interface. Your continued use of the service constitutes acceptance of the revised Terms.
