Partner Model

These Terms and Conditions govern participation in the QubMenu PARTNER model, a commercial model operated by QubHQ, under which eligible locations are granted access to the QubMenu Full Digital plan free of charge, in exchange for allowing their digital menu to be used as advertising space within the QubAds system.
By enrolling in or continuing to use the QubMenu PARTNER model, the Partner confirms that it has read, understood, and accepted these Terms, together with the general QubMenu Terms and Conditions and the QubAds advertising policies, all of which apply cumulatively.
Use of the Full Digital plan and dependency on the Partner Model
Access to the QubMenu Full Digital plan is granted strictly within the framework of the QubMenu PARTNER model and does not represent a standalone, unconditional right of use. The free availability of the Full Digital plan is directly and permanently linked to the existence and validity of the Partner Model for the respective location.
If the Partner Model is terminated, suspended, withdrawn, or otherwise ceases to apply to a location for any reason, QubHQ reserves the right, at its sole discretion, to terminate or deactivate the digital menu, suspend or close the workspace, or require the Partner to migrate to a paid commercial plan under the conditions applicable at that time. The Partner acknowledges that continued use of the Full Digital plan outside the Partner Model is not guaranteed.
All workspaces, digital menus, configurations, and technical components are created and operated within QubHQ’s infrastructure. No ownership rights over the workspace, the digital menu, or any platform component are transferred to the Partner. Upon termination of the Partner Model, QubHQ may disable access to the workspace and is not obliged to preserve or export data, except where mandatory under applicable law.
Advertising-based revenue and inherent volatility
Participation in the Partner Model implies the use of the digital menu as an advertising panel within the QubAds system. Any advertising-related revenue displayed in the platform dashboard represents a dynamic, performance-based calculation, not a fixed or guaranteed income.
The Partner expressly acknowledges that the amounts displayed as advertising revenue may fluctuate significantly on a daily and monthly basis. Such fluctuations may be influenced by multiple factors, including but not limited to the number of ad impressions, user interactions such as clicks, session duration, overall traffic volume, advertiser demand, seasonality, and the Partner’s relative performance compared to other locations within the same territory.
There is no guaranteed minimum revenue, no guaranteed traffic, and no assurance that participation in the Partner Model will generate any specific level of income.
Algorithmic control and variable return value
The Partner understands and accepts that all calculations related to advertising revenue, engagement weighting, budget distribution, and return allocation are performed using internal algorithms defined and operated by QubHQ.
QubHQ retains full and unilateral discretion to interpret market conditions and adjust the internal logic used to calculate returns. This includes the ability to modify, at any time, how much monetary value is attributed to an ad impression, interaction, or engagement. As a consequence, the Partner agrees that the value of a single ad view or interaction does not represent a fixed amount and may vary over time depending on platform-wide and market-level considerations.
This variability and algorithmic adjustment are intrinsic characteristics of the Partner Model, and the Partner accepts them as such.
Revenue sharing with affiliates and intermediaries
In cases where the Partner was onboarded or is managed through an affiliate, reseller, distributor, or other intermediary, the Partner expressly agrees that a portion of the advertising-generated revenue may be allocated to such intermediary.
The Partner acknowledges that the exact commission rate, revenue split, or financial arrangement applicable between QubHQ and the intermediary may not be disclosed. By participating in the Partner Model, the Partner accepts this structure and waives any right to contest or condition participation on the disclosure of intermediary commissions or internal commercial agreements.
Use of earned revenue: invoicing or reward budget conversion
Once a minimum advertising revenue of EUR 10 is reached and reflected in the dashboard, the Partner may choose how to use the earned amount.
The first option is to request payment. In this case, the Partner may issue an invoice to QubHQ between the 1st and the 5th day of the calendar month, for either the full amount or a partial amount displayed in the platform, and submit the payment request through the dashboard. Payment is subject to the confirmation of the displayed amounts and the applicable payment terms.
As an alternative option, available at any time and without any minimum revenue threshold, the Partner may choose to transfer part or all of the advertising revenue into a Reward Budget within the QubAds platform. This Reward Budget can be allocated to a workspace of the Partner’s choosing, provided that such workspace is owned by the same account. This option allows Partners to reinvest earned revenue into advertising activities instead of requesting a payout.

No entitlement, guarantee, or expectation of earnings
Participation in the QubMenu PARTNER model does not create a partnership, employment relationship, agency, or joint venture between the Parties. Advertising revenue does not constitute a salary, commission, or guaranteed income, and no vested financial rights arise prior to confirmation, invoicing, and payment.
Amounts displayed in the platform are informational and indicative until finalized in accordance with platform rules and applicable policies.
Modification or termination of the Partner Model
QubHQ reserves the right to modify, suspend, or discontinue the QubMenu PARTNER model, as well as to update these Terms, at any time. Changes become effective upon publication. Continued use of the platform after such publication constitutes acceptance of the updated Terms.
Governing law
These Terms and Conditions are governed by the laws of Romania, and any disputes shall be submitted to the competent courts at the seat of QubHQ, unless otherwise agreed in writing.

1. Introduction
Welcome to QUBMENU, a service operated by S.C. QUBHQ S.R.L. ("Company," "we," "us," or "our"), a company registered in Romania with registered office at Luis Pasteur 28, Oradea, Bihor County, Romania, and VAT number RO47754744. The Company owns and manages https://qubmenu.com ("the Site"), a platform offering digital menu and digital invitation services under a Software-as-a-Service (SaaS) model.
These Terms and Conditions constitute a legally binding agreement between you ("user," "you," or "your") and the Company. By using our services, you agree to be bound by these Terms. If you do not agree, you must immediately stop using the services.
2. Description of Services
QUBMENU provides access to two types of workspaces:
Digital Menus for restaurants, cafes, and hospitality venues.
Digital Invitations for events such as weddings, conferences, or private gatherings.
Upon registration, users must choose the type of workspace. A demo environment is available by default for evaluation purposes, offering limited functionality without requiring payment.
To unlock full functionality, such as publishing a public menu or invitation via a link, accessing advanced features, and managing more than one item, you must activate a paid license. Licenses are available on a monthly or yearly basis, as specified on our pricing page at https://qubmenu.com/pricing.
3. Acceptance of Terms
By accessing or using our services in any manner—including but not limited to browsing the Site, creating an account, uploading content, or purchasing a subscription—you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and our Privacy Policy.
4. Eligibility
You may only use the services if:
You are at least 18 years old;
You have the legal capacity to enter into a binding agreement;
You are not prohibited from using the services under applicable law.
You must not allow any unauthorized person to access your account.
5. Account Registration and Security
To use most features of the platform, you must create an account. When registering:
You must provide accurate, current, and complete information;
You must keep your login credentials confidential;
You are responsible for all activities that occur under your account;
You must notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or delete accounts with false or misleading information.
6. Subscription Plans and Billing
Our pricing and subscription terms are publicly available at https://qubmenu.com/pricing. By subscribing, you:
Agree to pay the applicable fees and VAT;
Authorize us to charge your preferred payment method on a recurring basis;
Are responsible for maintaining updated billing information;
Understand that all purchases are final and non-refundable;
May cancel your subscription from your account dashboard at any time. The cancellation becomes effective at the end of the current billing cycle.
7. Free Trial
We offer a free trial period of up to 1000 days with limited features. The free trial is designed to allow new users to evaluate the platform before making a purchase. We reserve the right to change the duration or terms of the free trial at our discretion.
8. Availability, Maintenance, and Downtime
While we strive to provide uninterrupted service, we:
Do not guarantee 100% uptime;
May perform routine or emergency maintenance;
Are not liable for service interruptions of up to 48 hours, especially when caused by third-party providers such as Google Cloud, Cloudflare, or other dependencies.
9. License and Intellectual Property
All content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, and software, is the property of QUBHQ S.R.L. or its licensors. We grant you a limited, non-transferable, non-exclusive, revocable license to use the services strictly for internal business purposes.
You must not:
Copy, reproduce, distribute, or exploit any content without our written permission;
Modify, reverse engineer, or disassemble any part of the platform;
Use any content for commercial resale, sublicensing, or redistribution.
10. User-Generated Content and Uploaded Media
You may contribute content to the platform, including but not limited to text, media, product descriptions, and metadata ("User Content"). By doing so, you:
Grant us a worldwide, irrevocable, royalty-free, perpetual license to use, modify, reproduce, and publish such content;
